Terms of Use

The rules for using this site, and the ground rules for working with us. Plain language, no traps buried in clause 14.

01

Accepting these terms

These terms govern your use of goateddesigns.in and the material on it. By browsing the site, submitting the contact form, or messaging us through a link here, you agree to them. If you do not, please stop using the site.

We are Goated Designs, a web and SaaS development studio operating from Navrachna Society, Bhavna Colony, Anand, Gujarat 388001, India. "We", "us" and "our" mean Goated Designs; "you" means the person or business using the site or engaging us.

02

This site is not the contract for your project

Nothing on this site is a binding offer. Pages describing services, timelines, packages and prices are indicative, provided for information, and may change without notice.

Paid work is governed by a separate proposal, quotation or statement of work that we agree with you in writing. Where anything in that signed document conflicts with these terms, the signed document wins for that engagement.

Prices shown on the pricing page are starting points for typical scopes. The number that matters is the one in your written quote.

03

Using the site

You may view, browse and print pages of this site for your own business or personal reference. You may not:

  • Copy, republish or resell our text, layouts, code, images or case study content without written permission.
  • Scrape, crawl or bulk-download the site beyond normal search engine indexing, or use it to train a machine learning model without our written permission.
  • Attempt to gain unauthorised access to the site, its hosting, or any connected system, or probe it for vulnerabilities without our written consent.
  • Introduce malware, run denial-of-service attacks, or otherwise interfere with the site's availability for other people.
  • Use the contact form or WhatsApp links to send spam, unlawful content, or anything you do not have the right to send.
  • Misrepresent yourself as us, or imply an association or endorsement that does not exist.

We may restrict or withdraw access to the site, without notice, from anyone doing any of the above.

04

Our intellectual property

The Goated Designs name and logo, the design and structure of this site, its copy, illustrations, animations, and underlying code are owned by us or licensed to us, and are protected under the Copyright Act, 1957 and applicable trade mark law.

Client work shown in our portfolio or case studies is displayed with permission and remains the property of the respective clients. Third-party logos appearing on the site belong to their owners and are used to identify them, not to claim endorsement.

05

Ownership of what we build for you

For engaged projects, ownership works like this unless your signed agreement says otherwise:

Final deliverables
Once we have received payment in full, the final designs, source code and assets we produced specifically for your project are assigned to you.
Before final payment
We retain ownership of everything we have produced. Work delivered in advance of payment is licensed to you for review only, not for production use.
Our pre-existing tooling
Internal components, libraries, boilerplate and know-how we brought to the project stay ours. You get a perpetual, non-exclusive licence to use them as part of your delivered product.
Third-party and open-source components
Remain under their own licences. We will tell you what we have used and what those licences require of you.
Concepts not selected
Unused directions, drafts and rejected concepts remain ours and may be reworked elsewhere.
06

What we need from you

Projects run late for predictable reasons. These are the ones that are yours to control:

  • Supplying content, brand assets, access credentials and approvals within the timeframes we agree.
  • Confirming you own or are licensed to use everything you send us - text, images, fonts, logos and data - and that it does not infringe anyone's rights.
  • Providing a single point of contact who can make decisions and sign off on stages.
  • Making sure your use of what we build complies with the laws that apply to your business, including any licensing, consumer or data protection obligations.

If a project stalls on your side for more than 30 days, we may pause it and reschedule the remaining work around our other commitments. Extended pauses can affect the timeline and the price.

07

Fees, payment and refunds

Fees, milestones and the payment schedule are set in your quote or statement of work. Unless it says otherwise:

  • An advance is payable before work begins, and the balance before final handover or deployment.
  • Invoices are due within the period stated on the invoice.
  • Quoted amounts exclude GST and any other applicable taxes, which are added where required.
  • Third-party costs - domains, hosting, licences, paid APIs, stock assets - are billed to you or paid by you directly, and are not included in our fee unless listed.
  • Work outside the agreed scope is quoted and approved separately before we start it.

The advance covers time already reserved and is non-refundable once work has begun. If you cancel mid-project, you pay for the work completed up to that point and we hand over what has been paid for. We may suspend work or withhold handover on materially overdue invoices.

08

Third-party services and dependencies

Modern products are assembled from services nobody in this agreement controls - hosting platforms, payment gateways, email providers, APIs, package registries and app stores.

We will choose sensible ones and integrate them properly, but we are not responsible for their pricing changes, outages, deprecations, policy decisions, or approval processes. Where such a service changes in a way that breaks your product, fixing it is chargeable work unless it falls within an active support arrangement.

09

Launch, warranty and support

After handover we fix bugs in what we built, free of charge, for the warranty period stated in your agreement. A bug means the delivered work not behaving as specified.

New features, design changes, content updates, third-party breakages and issues caused by edits made by you or another developer fall outside the warranty and are quoted separately. Ongoing support and retainer arrangements are available and agreed in writing.

10

Portfolio and credit

Unless you tell us otherwise in writing, we may display finished work in our portfolio, case studies and social channels, and name you as a client. We will not publish anything before your product is public, and we will not disclose confidential details, metrics or internal materials.

If your project needs to stay unpublished, say so and we will keep it out of everything.

11

Confidentiality

Each of us will keep the other's non-public information confidential and use it only for the project. That covers business plans, technical details, credentials, pricing and anything reasonably understood to be private.

It does not cover information that is already public, that either of us already had, that either of us develops independently, or that we are legally compelled to disclose. We are happy to sign a mutual NDA if your process requires one.

12

Disclaimers

The site is provided on an "as is" and "as available" basis. We work to keep it accurate and online, but we do not warrant that it will be uninterrupted, error-free, or that the information on it is complete or current at any given moment.

Nothing on this site is legal, financial, tax or business advice, and no client outcome described here is a promise of a comparable result for you. Decisions you make based on the site are your own.

13

Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including lost profits, lost revenue, lost data, or business interruption, arising from your use of this site or our services.

Our total liability arising out of or connected to an engagement is limited to the fees you have actually paid us for that engagement.

Nothing here limits liability that cannot be limited by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

14

Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from content or materials you supplied, from your use of the delivered work in a way that breaks the law, or from your breach of these terms.

15

Ending things

Either of us may end an engagement in writing. On termination you pay for work completed and for any non-cancellable third-party costs already committed, and we hand over the paid-for work in its current state.

We may terminate immediately if invoices remain materially overdue, if you ask us to do something unlawful, or if the working relationship becomes untenable. Sections covering intellectual property, confidentiality, liability and governing law survive termination.

16

Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Anand, Gujarat have exclusive jurisdiction over any dispute arising from them or from your use of this site.

Before either of us starts proceedings, we agree to attempt to resolve the dispute in good faith through discussion for at least 30 days after written notice. Most disagreements are cheaper to fix in a conversation.

17

Changes to these terms

We may update these terms as our services change. The date at the top shows the current version, and the version in force when you engaged us governs that engagement. Continuing to use the site after an update means you accept the revised terms.
